Terms of Service

1. Acceptance of Terms

By accessing or using FlexiCommerce ("Service"), operated by Ujjwal Technolabs Private Limited ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Service Description

FlexiCommerce is a SaaS ecommerce platform providing:

• Online store with 5 industry themes
• Customer app (iOS & Android) and delivery app on Starter; seller app on Business
• Admin panel
• Payment gateway integrations (Razorpay, Cashfree, PayU, PhonePe)
• Shipping integrations (Shiprocket, Shipway)
• AI features, gamification, loyalty, B2B wholesale

3. Account Registration

You must provide accurate information during registration. You are responsible for maintaining the confidentiality of your account credentials. You must be at least 18 years old to use the Service.

4. Subscription & Payments

The Service is offered on a monthly subscription basis. Plans are Starter (₹999/month) and Business (₹1,999/month), each preceded by a 14-day free trial. Hosting is included in every plan. Payments are processed via Razorpay. Subscription auto-renews unless cancelled. No transaction fees are charged by FlexiCommerce on your sales.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal activity
• Attempt to reverse-engineer, decompile, or hack the platform
• Resell or redistribute the platform without written consent
• Upload malicious code, viruses, or harmful content
• List or sell any product that is prohibited under Section 6

6. Prohibited & Regulated Products

6.1 Prohibited products. You may not list or sell on your store: narcotic or psychotropic substances, habit-forming or Schedule X drugs, weapons, ammunition and explosives, counterfeit, pirated or stolen goods, wildlife and endangered-species products, adult or obscene content, or any other item whose sale is illegal in India.

6.2 Regulated products. Medicines, medical devices, food items, cosmetics, alcohol, tobacco, pesticides and any other regulated goods may be sold only if you (and, on marketplace stores, each of your vendors) hold every licence, registration and approval required by law (for example a retail drug licence, FSSAI registration) and comply with all conditions of sale, including prescription and age-verification requirements. We may ask for copies of such licences at any time, and failure to provide them is a breach of these terms.

6.3 Your responsibility. You are solely responsible for the products listed on your store, their legality, quality, safety, descriptions, pricing, taxes, delivery, returns and all dealings with your customers.

6.4 Marketplace stores. If you run a multi-vendor store, you are solely responsible for onboarding, verifying and monitoring your vendors, their licences and their products. Your vendors' acts and omissions are treated as your own under these terms.

7. Platform Role

FlexiCommerce is a technology provider and an intermediary under the Information Technology Act, 2000. We are not the seller, buyer, stockist or distributor of any product on your store. We do not verify, endorse, control or take title to your listings, and we are not a party to any transaction between you, your vendors and your customers.

8. Takedown & Suspension

We may remove any listing, or suspend or terminate any store, with or without notice, if we receive a legal notice, government order or complaint, or if we reasonably believe these terms or any law are being violated. No refund is due for a suspension caused by your breach.

9. Data Ownership

You retain ownership of all content, product data, customer data, and business information uploaded to the platform. We do not claim ownership of your data. Upon account termination, your data will be available for export for 30 days.

10. Third-Party Services

The platform integrates with third-party services (Razorpay, Shiprocket, MSG91, OpenAI, etc.). Your use of these services is subject to their respective terms. We are not responsible for third-party service disruptions.

11. Intellectual Property

The FlexiCommerce platform, including its code, design, and documentation, is the intellectual property of Ujjwal Technolabs Private Limited. Your subscription grants you a non-exclusive, non-transferable licence to use the platform for your business.

12. Indemnity

You agree to indemnify, defend and hold harmless FlexiCommerce and Ujjwal Technolabs Private Limited, its directors, employees and affiliates, from any claim, demand, penalty, loss, damage or legal cost arising from: (a) products listed or sold on your store, (b) acts or omissions of your vendors, staff or delivery partners, (c) your breach of these terms, or (d) your violation of any law or third-party right.

13. Limitation of Liability

To the maximum extent permitted by law, FlexiCommerce and Ujjwal Technolabs Private Limited shall not be liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability is limited to the amount paid by you in the 3 months preceding the claim.

14. Termination

Either party may terminate the subscription at any time. We may suspend or terminate accounts that violate these terms. Upon termination, your access to the platform will be revoked, and data export will be available for 30 days.

We acknowledge complaints within 24 hours and resolve them within 15 days.

16. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Indore, Madhya Pradesh.

17. Changes to Terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance. We will notify you of significant changes via email.
